Terms and Policies
Application Process / Account Holders:
To open an account with Old South Apparel you need submit a completed Retailer Partner Form. Your form will be processed within 3-5 business days. Once your account is approved you will receive an approval email. You will be able to submit orders, and view wholesale pricing. Unfortunately if your application will be infringing on another location your application will be denied. Opening orders must contain the opening order requirements for products that Old South produces. All accounts are at the discretion of Old South with varying factors.
Order/Account Requirements:
$1250 to Open an Old South Account
$100 Minimum on Reorders
Reactivation Minimum may apply if you do not maintain steady ordering through both prebook, and at once orders. Typically this applies to accounts that have not ordered in the last season.
Territory Protection:
In order to secure Territory Protection you must maintain a $1250 order every 90 days.
These policies are not a requirement to be an Old South Retailer but only to secure Territory Protection. However by not maintaining territory protection you might be at risk of losing your right to sell Old South.
If you have multiple store locations, you must maintain the following for each store location.
We can only protect your store locations from products that Old South produces. It will not apply to our other collaboration products due to the partnership with our manufacturers and partners.
Department stores or multi location stores in your area will have priority.
Protection for your store location is at the sole discretion of Old South in conjunction with our brand quality and vision for expansion.

Order Cancellation:
When an order has been placed and we are awaiting payment, we will attempt to contact you via phone/email up to 3 times. Your order will be at risk of being cancelled due to non-payment. Repeat offenders will be at risk of losing their ability to partner with Old South.
Backorders:
Backordered items should ship within 2-3 weeks from the time of initial purchase. You will be charged additional shipping once back order items are shipped. You may cancel an item on backorder at any time before shipping. If you are unsure if you have any items currently open, we can let you know.
Payment Terms:
For your ordering convenience, we accept Visa, MasterCard, American Express, Discover. Once payment information is received we will begin processing your order.
If payment is declined by your financial institution, finance charges and/or fees may apply. We will make every effort to contact you for alternative payment, but your order may be delayed from our initial estimated delivery time if this occurs. We understand that card information is sometimes compromised or you decide to close an account for a card we have on file. Processing will not start until the payment is received at Old South and the funds have been deposited successfully. On another note, we never share your financial information with anyone.
Qualifications for Account:
You must have an established brick and mortar store to purchase wholesale from Old South Apparel. We do not sell to solely online stores. If you do not have a resale tax ID, we are prohibited from selling wholesale to you.
We require Resale Tax ID (Sales and Use Tax Permit, License, Certificate, Etc.) for retailers. Clients are not subject to wholesale discounts until they can provide a Resale Tax ID. We require retail sales tax ID's for all of our clients regardless of your location.
Prohibited Marketplaces:
If you have purchased wholesale from us in the past and have been selling the apparel on your website without having a physical business, you are prohibited from placing future orders. We do not allow our retailers to sell on websites such as: Poshmark, e-Bay, Etsy, Craigslist, Etc or any other online site is prohibited. Amazon is an approved marketplace with pre-approval from Old South.
Color Settings:
Colors can differ from computer to computer, based on monitor settings. Old South Apparel, and print may vary slightly, But we have provided pictures to closely judge.
Changing of Orders:
If you would like to change anything regarding to your order please do so before completing your order. We can not guarantee we can process any changes after the order has been placed.
Wrong Address / Misdelivered Order:
The phone number or email you provide may be used by the OSA or Carrier to contact you in case they have problems delivering your order. We do our best to speed up processing and shipping times, hence there is a very small time gap to make changes to your order. If you decide to change your shipping address, please contact our shipping department as soon as you place your order. We will do our best to make the change, however we cannot guarantee that we will be able to do so, as there are varying time limits in which we are able to do so. If you provide us with the wrong shipping information, or it is not verified by our carrier we are not responsible for orders sent to the wrong address. Please ensure that your information is completely correct to ensure there are no delays or mistakes on your order.
Shipping and Handling:
We will send you a shipping confirmation email when all or part of your order is shipped. This email is sent after the first scan. The email will include the tracking number. You will be sent a shipping confirmation email with a tracking number for every shipment. You can check the status of your order anytime by clicking the link in the email.
Returns/Exchanges:
All orders to be Returned/Exchanged must be authorized by written consent from Old South Apparel. All orders sent without written consent will be refused.
Restocking Fee:
All products returned/exchanged are subject to a 10% restocking fee. This applies to all circumstances.
Inclement Weather:
Inclement weather conditions may delay or postpone our deliveries. Old South Apparel will not hold liability for shipping based on an inclement weather delay from our warehouse or your area.
If the delivery of your package is delayed or postponed due to circumstances beyond the control of Old South Apparel, OldSouthApparel.com or our parcel courier, such as the re-routing of delivery based on mechanical difficulties, Old South Apparel will not hold liability.

By accessing and using the Site, you are agreeing to be legally bound by and comply with the terms contained in this Terms of Use Agreement ("Agreement"). By using the Site, you, the user of the Site ("User"), are subject to these Terms of Use. User may not use the Site for any unlawful purpose. User understands and agrees that Old South Apparel may discontinue or change the Site at any time, without notice. Also, User understands and agrees that Old South Apparel may discontinue or restrict User's use of the Site for any reason without notice.
3. Copyright Protection
The content displayed on the Site ("Content") is the property of Old South Apparel or its licensors, and is protected by U.S. and international copyright and other intellectual property laws.
4. Content Use Limitations.
User agrees not to copy, reproduce, modify, display, perform, publish, create derivative works from, or store any Content on the Site. User also agrees not to distribute, transmit, broadcast or circulate any Content to others, without the express prior written consent of Old South Apparel, except User may, on an occasional and irregular basis, reproduce, distribute, display or transmit an insubstantial portion of such Content, for a noncommercial purpose and without charge, to a limited number of individuals, provided User includes all copyright and other proprietary rights notices with that portion of the Content, in the same form in which the notices appear on the Site, and the phrase "Used with permission from Old South Apparel"
User may not post any Content to forums, newsgroups, mail lists, electronic bulletin boards, or other web sites, without the prior written consent of Old South Apparel. Use of all Site Content is for non-commercial purposes only.
Old South Apparel's Content includes information, tips, facts, views, and opinions Old South Apparel deems worthy of publication. Old South Apparel DOES NOT GIVE TECHNICAL, BUSINESS, OR ANY OTHER PROFESSIONAL ADVICE THROUGH OR IN CONNECTION WITH THE SITE.
5. Trademarks.
The Site contains trademarks and trade names of Old South Apparel. Third party trademarks and trade names are the property of their respective owners.
6. Links to Other Sites.
The Site contains hyperlinks to websites operated by third parties. These hyperlinks are provided for the benefit of the users of the Site. A hyperlink to a third party website does not imply that Old South Apparel endorses the content on or the business of the hyperlinked website. User is solely responsible for determining the integrity and reliability of the information on the hyperlinked website.
7. Disclaimer of Warranties.
Although Old South Apparel strives to provide high quality Content, Old South Apparel does not guarantee or warrant the accuracy, completeness or timeliness of the Site Content.

USER SPECIFICALLY AGREES THAT OLD SOUTH APPAREL IS NOT LIABLE FOR ANY CONDUCT BY USER ASSOCIATED WITH THE SITE, INCLUDING, BUT NOT LIMITED TO, ACTIVITIES RELATING TO DATABASES, DIRECTORIES, COMMUNITIES, RESUMES, USER PROFILES, SURVEYS, CHAT ROOMS, MESSAGE BOARDS OR OTHER SERVICES CURRENTLY OFFERED OR THOSE SERVICES THAT WILL BE OFFERED IN THE FUTURE.
IN NO EVENT SHALL OLD SOUTH APPAREL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SITE, OR FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SITE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE PROPERTY, EVEN IF Old South Apparel HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT Old South Apparel IS FOUND LIABLE, ITS LIABILITY TO USER OR ANY THIRD PARTIES IS LIMITED TO $50. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY OT APPLY TO USER.
9. Indemnity.
User agrees to indemnify Old South Apparel against any and all claims and expenses, including attorneys' fees, arising from the User's use of the Site or breach of the Agreement.
10. Revocation of Access.
Old South Apparel reserves the right to revoke User's access to the Site or any use authorizations relating to the Site granted to User.
11. User Input.
All electronic mail or communications provided by User to Old South Apparel may be used by Old South Apparel for any purpose without compensation to the contributor, subject to Old South Apparel's web site privacy policy.
12. Applicable Law.
User acknowledges that the Content contained in this Site is controlled in and originates from the United States. Old South Apparel makes no representation that any of the Content is appropriate or available for use in other locations. Old South Apparel has no responsibility for any access to this web site from territories where the Content may be illegal or otherwise prohibited. Users who choose to access this Site from other locations do so at their own risk and are responsible for compliance with applicable local laws. Any claim relating to the use of Site and any Content shall be governed by the internal substantive laws of the State of North Carolina, without regard to its conflicts of laws rules. User expressly consents to the jurisdiction of the state and federal courts of North Carolina for any such claim.
